These Terms & Conditions ("Terms") govern your access to and use of ChargeCrafter, a software-as-a-service platform for accounting, invoicing, quotes and estimates, subscription and recurring billing, expense and vendor-bill management, bank-feed reconciliation, inventory and stock tracking, and tax reporting, available at https://chargecrafter.com and owned and operated by SYCONX LLC. Please read these Terms carefully before using ChargeCrafter. By creating an account, accessing, or using the service, you agree to be bound by these Terms.

1. Agreement & Acceptance
These Terms constitute a legally binding agreement between you ("You", "Customer") and SYCONX LLC, a limited liability company organized under the laws of the State of New York, United States, with its principal place of business at 2 West Montauk Highway, Westhampton, NY 11977, USA ("SYCONX", "we", "us", "our"). "You" or "Customer" means the business or person using ChargeCrafter.
By registering for an account, clicking to accept these Terms, or otherwise accessing or using ChargeCrafter, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, Cookie Policy, and, where applicable, our GDPR commitments, each of which is incorporated by reference. If you do not agree to these Terms, you must not access or use ChargeCrafter.
If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "You" and "Customer" refer to that entity. If you do not have such authority, you must not accept these Terms or use the service on the entity's behalf.
2. Definitions
In these Terms, the following capitalized words have the meanings set out below:
- "ChargeCrafter" or the "Service" means the ChargeCrafter software-as-a-service platform, including its websites, web applications, features, application programming interfaces (APIs), and related documentation and support, as made available by SYCONX.
- "SYCONX", "we", "us", "our" means SYCONX LLC, the owner and operator of ChargeCrafter.
- "Customer", "You", "your" means the business or person that registers for or uses the Service.
- "Account" means the registered account through which you access and use the Service, including any associated workspace.
- "Workspace" means the organizational environment within the Service in which your Customer Data is stored and to which you may invite team members and other users.
- "Authorized Users" means the individuals you invite or permit to access the Service through your Account or Workspace, such as employees, contractors, accountants, or team members.
- "Customer Data" means the data you enter or upload into the Service, including invoices, clients, products, vendors, bills, bank transactions, documents, and any other content or information you provide.
- "Subprocessor" means a third-party service provider engaged by SYCONX to process Customer Data in connection with the Service, as described in our Privacy Policy.
- "Free Plan" means the free default plan provided to new Accounts upon signup.
- "Paid Plan" means any subscription plan for which fees are charged and billed via Stripe.
- "Fees" means the amounts payable by you for a Paid Plan.
3. Description of the Service
ChargeCrafter is a cloud-based software-as-a-service platform aimed at small and mid-sized businesses. It provides tools for accounting, invoicing, quotes and estimates, subscription and recurring billing, expense and vendor-bill management, bank-feed reconciliation, inventory and stock tracking, and tax reporting, together with related features such as AI-assisted document scanning and an in-app AI assistant.
The Service is provided as a software tool only. SYCONX may, at its discretion and from time to time, add, modify, enhance, suspend, or remove features and functionality of the Service. We may release new features, update existing ones, or discontinue features that are no longer supported. Where a change materially reduces the core functionality of a Paid Plan you are actively using, we will use reasonable efforts to provide advance notice as described in Section 18.
Certain features depend on third-party services and integrations that you choose to enable, as described in Section 9. The availability of specific features may vary depending on your plan, your configuration, and the third-party services you connect.
4. Eligibility & Accounts
4.1 Eligibility
The Service is intended for business use by businesses and by individuals acting in a business or professional capacity. To use ChargeCrafter, you must be at least eighteen (18) years of age (or the age of legal majority in your jurisdiction) and capable of forming a binding contract. By using the Service, you represent and warrant that you meet these requirements and that all information you provide is accurate.
4.2 Account registration
To use most features of the Service, you must register for an Account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for maintaining the accuracy of your Account and billing information.
4.3 Account security and credentials
You are responsible for safeguarding your login credentials and for all activity that occurs under your Account, whether or not authorized by you. You must keep your password confidential, must not share your credentials, and must notify us promptly at support@chargecrafter.com if you become aware of any unauthorized access to or use of your Account. Where "Sign in with Google" is used, you are responsible for the security of the associated Google account. SYCONX is not liable for any loss or damage arising from your failure to protect your credentials.
4.4 Authorized Users and team members
You may invite Authorized Users to your Workspace. You are responsible for the acts and omissions of your Authorized Users, for ensuring they comply with these Terms, and for managing their access rights and permissions. You remain responsible for all Customer Data and all activity within your Workspace regardless of which Authorized User creates or modifies it. When an Authorized User's access should end, it is your responsibility to remove or disable that user's access within the Service.
5. Plans, Subscriptions, Billing & Free Plan
5.1 Free Plan
New Accounts receive a free default plan upon signup. The Free Plan may have limited features, capacity, or usage limits, and may be modified or discontinued by SYCONX at any time. The Free Plan is provided "as is" and without any warranty or commitment of continued availability.
5.2 Paid Plans and billing via Stripe
Paid Plans are billed through our payment processor, Stripe, Inc. ("Stripe"). By subscribing to a Paid Plan, you authorize us and Stripe to charge the applicable Fees to your designated payment method. Paid Plans may be billed on a monthly or annual basis, as selected at the time of purchase. Your subscription and billing settings are managed on the web through the Service.
5.3 Automatic renewal
Unless otherwise stated, Paid Plans renew automatically at the end of each billing period (monthly or annual) at the then-current rate, using the payment method on file, until you cancel. You may cancel auto-renewal at any time through the subscription management area of the Service on the web. Cancellation takes effect at the end of the current billing period, and you will retain access to the Paid Plan features until that period ends.
5.4 Price changes
We may change the Fees for any Paid Plan. For changes affecting your subscription, we will provide reasonable advance notice, and any price change will take effect at the start of your next billing period following the notice. If you do not agree to a price change, you may cancel your subscription before it takes effect.
5.5 Taxes
Fees are exclusive of taxes unless otherwise stated. You are responsible for all applicable sales, use, value-added, goods and services, withholding, and similar taxes, duties, and levies associated with your purchase, other than taxes based on SYCONX's net income. Where we are required to collect such taxes, they will be added to your invoice.
5.6 Refunds
Except where required by applicable law or expressly stated at the time of purchase, all Fees are non-refundable, and there are no refunds or credits for partial billing periods, unused time, or features not used. Downgrading a plan may cause a loss of features, capacity, or access to Customer Data; SYCONX is not liable for any such loss resulting from a downgrade or cancellation you initiate.
5.7 Failed payments
If a payment is not successfully processed, we may retry the charge, suspend or downgrade your access to Paid Plan features, or terminate your Paid Plan. You remain responsible for any amounts that are due but unpaid.
5.8 Customer's own invoice payments
You may optionally enable Stripe or other connectors to collect payments on your own invoices from your clients. Those transactions are between you, your clients, and the relevant payment provider, and are governed by that provider's terms. SYCONX is not a party to those transactions and is not responsible for the collection, processing, settlement, refund, or chargeback of any payment you collect from your own clients.
6. Acceptable Use / Prohibited Conduct
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not, and must not permit any Authorized User or third party to:
- use the Service in violation of any applicable law, regulation, or third-party right, or for any fraudulent, deceptive, or unlawful purpose;
- upload, store, or transmit any content that is unlawful, infringing, defamatory, obscene, harmful, or that you do not have the right to provide;
- upload or transmit any viruses, malware, or other malicious code, or otherwise interfere with, disrupt, or impair the integrity, security, or performance of the Service or its infrastructure;
- attempt to gain unauthorized access to the Service, other Accounts, or any systems or networks connected to the Service;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, or algorithms of the Service, except to the extent such restriction is prohibited by applicable law;
- copy, modify, translate, or create derivative works of the Service, or resell, sublicense, rent, lease, or otherwise commercially exploit the Service except as expressly permitted;
- use the Service to build or benchmark a competing product or service, or to circumvent usage limits or plan restrictions;
- use any automated means (such as scraping, robots, or spiders) to access the Service in a manner that sends more requests than a human could reasonably produce, or that imposes an unreasonable load on our infrastructure;
- attempt to bypass, disable, or interfere with any security, bot-detection, or abuse-prevention features, including Cloudflare Turnstile; or
- use the Service to send spam, unsolicited communications, or otherwise abuse the transactional email functionality.
We reserve the right to investigate and take appropriate action, including suspending or terminating Accounts, against anyone who violates this Section.
7. Customer Data & Ownership
7.1 Ownership of Customer Data
As between you and SYCONX, you own and retain all right, title, and interest in and to your Customer Data. We do not claim ownership of your Customer Data.
7.2 License to SYCONX
You grant SYCONX a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, process, and otherwise use your Customer Data solely as necessary to provide, maintain, secure, and improve the Service, to provide support, to enable the features and integrations you use, and as otherwise permitted by these Terms and our Privacy Policy. This license continues for so long as we host your Customer Data and terminates as described in Section 16, subject to any legal retention obligations.
7.3 Your responsibility for Customer Data
You are solely responsible for your Customer Data, including its accuracy, quality, legality, and reliability, and for the means by which you acquired it. You represent and warrant that you have all necessary rights, consents, and authority to upload your Customer Data to the Service and to permit SYCONX and its Subprocessors to process it, including where your Customer Data contains personal data about your clients, vendors, employees, or other third parties. You are responsible for complying with all laws applicable to your Customer Data, including data protection and privacy laws. Our handling of personal data is described in our Privacy Policy and, where applicable, our GDPR commitments.
7.4 Backups and data integrity
While we take reasonable measures to protect and back up data hosted on the Service, you are responsible for maintaining your own copies and backups of your Customer Data. We strongly encourage you to export and retain independent copies of important records.
8. Intellectual Property
The Service, including all software, source code, features, functionality, user interfaces, designs, text, graphics, documentation, and the "ChargeCrafter" and "SYCONX" names, logos, and brands, is owned by SYCONX or its licensors and is protected by copyright, trademark, and other intellectual property laws. Except for the limited rights expressly granted to you in these Terms, no rights, title, or interest in or to the Service are transferred to you.
Subject to your compliance with these Terms and payment of applicable Fees, SYCONX grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your internal business purposes during the term of your subscription or use. You may not use SYCONX's or ChargeCrafter's trademarks, logos, or brand features without our prior written consent.
If you provide us with any feedback, suggestions, or ideas about the Service, you grant SYCONX a perpetual, irrevocable, royalty-free license to use and incorporate that feedback into the Service without any obligation to you.
9. Third-Party Integrations & Services
The Service relies on, and offers integrations with, third-party services. These include our core Subprocessors and optional connectors that you choose to enable, such as:
- Amazon Web Services, Inc. (AWS) — cloud hosting, file storage (Amazon S3), and transactional email (Amazon SES), in the United States;
- Stripe, Inc. — subscription billing and payment processing for ChargeCrafter plans, and optionally your own invoice payments;
- OpenAI, L.L.C. — AI features, including AI invoice and receipt scanning and the in-app AI assistant;
- Google LLC — optional "Sign in with Google" (OAuth) authentication;
- Cloudflare, Inc. — bot and abuse protection (Turnstile) and network security;
- Tax-rate data providers (such as TaxJar) — sales-tax rate lookup and assistance; and
- Optional connectors you choose to enable (used only when connected): PayPal, Square, Adyen, Mollie, Klarna, Authorize.Net, Wise, Mercury, and Brex.
Your use of any third-party service or integration is governed by that third party's own terms and privacy policies, and you are responsible for reviewing and complying with them. SYCONX does not control and is not responsible for the availability, accuracy, performance, security, or practices of any third-party service, including any payment provider, bank, or bank-feed source. If a third-party service becomes unavailable, changes, or is discontinued, we may modify, suspend, or remove the related integration without liability. A current list of our Subprocessors is maintained in our Privacy Policy.
10. AI Features
ChargeCrafter offers AI-powered features, including AI invoice and receipt scanning and an in-app AI assistant, which are powered in part by OpenAI, L.L.C. and process only the content you submit to those features. AI features are provided as a convenience to help you work more efficiently.
You acknowledge and agree that AI-generated output may be incomplete, inaccurate, or otherwise unreliable, and that it is generated automatically without human review. You are solely responsible for reviewing, verifying, and correcting any AI-generated output before relying on it. You must not rely on AI output as professional accounting, bookkeeping, tax, financial, or legal advice. SYCONX makes no warranty regarding the accuracy or suitability of any AI-generated output, and is not liable for any decision you make or action you take based on it.
11. Professional-Advice Disclaimer
ChargeCrafter is a software tool, NOT an accountant, bookkeeper, tax advisor, or law firm; it does not provide professional accounting, tax, financial, or legal advice, and the Customer is responsible for the accuracy of its records and for its own tax/legal compliance.
Nothing in the Service constitutes professional advice, and no fiduciary, advisory, accountant-client, or attorney-client relationship is created by your use of the Service. You are solely responsible for the accuracy and completeness of your records, for any filings, returns, or reports you generate or submit, and for compliance with all tax, accounting, financial, and legal obligations applicable to your business. You should consult a qualified professional regarding your specific circumstances.
12. Service Availability, Changes, and Support
The Service is provided on an "as is" and "as available" basis. We aim to make the Service available and reliable, but we do not guarantee that it will be uninterrupted, error-free, or available at any particular time, unless a separate service-level agreement (SLA) has been agreed in writing with SYCONX.
From time to time we may perform scheduled or emergency maintenance, updates, or repairs that may temporarily limit or interrupt access to the Service. We will use reasonable efforts to minimize disruption but are not liable for any unavailability resulting from maintenance, third-party service failures, or events outside our reasonable control.
Support for the Service is provided primarily through support@chargecrafter.com. The scope and responsiveness of support may vary by plan.
13. Warranty Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. SYCONX AND ITS LICENSORS AND SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
SYCONX DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT IT WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT ANY DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SYCONX MAKES NO WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY DATA, CALCULATIONS, TAX RATES, AI OUTPUT, OR OTHER RESULTS OBTAINED THROUGH THE SERVICE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM SYCONX OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SYCONX LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS, OR ANTICIPATED SAVINGS, OR FOR ANY LOSS, CORRUPTION, OR INACCURACY OF DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SYCONX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF SYCONX ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO SYCONX FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). THE FOREGOING LIMITATIONS APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
15. Indemnification
You agree to defend, indemnify, and hold harmless SYCONX LLC and its members, managers, officers, employees, agents, licensors, and suppliers from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Customer Data or your use of the Service; (b) your violation of these Terms or of any applicable law or regulation; (c) your violation or infringement of any third-party right, including intellectual property or privacy rights; (d) the acts or omissions of your Authorized Users; or (e) any dispute between you and your clients, vendors, or any third party. SYCONX reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with SYCONX's defense of that claim.
16. Term & Termination
16.1 Term
These Terms take effect when you first accept them or use the Service and continue until your Account is terminated or these Terms are otherwise terminated as described below.
16.2 Termination by you
You may stop using the Service and terminate your Account at any time. For Paid Plans, you may cancel your subscription through the subscription management area of the Service on the web; cancellation takes effect at the end of the current billing period, and no further Fees will be charged after that period (subject to Section 5.6 on refunds).
16.3 Termination or suspension by SYCONX
We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if: (a) you materially breach these Terms; (b) your use poses a security, legal, or operational risk to SYCONX, the Service, or others; (c) you fail to pay Fees when due; (d) required by law; or (e) we discontinue the Service. Where reasonably practicable and lawful, we will provide notice before termination.
16.4 Effect of termination
Upon termination, your right to access and use the Service ceases. Following termination or expiration of your Account, we will provide a reasonable data export window during which you may export your Customer Data, after which your Customer Data may be deleted from active systems in the ordinary course, subject to any legal retention obligations and to backups that are cycled out over time. You are responsible for exporting your Customer Data before the end of the export window. Details regarding data retention, deletion, and your right to request deletion of your Account are described in our Privacy Policy.
16.5 Survival
Provisions that by their nature should survive termination will survive, including Sections 7 (as to accrued rights), 8, 11, 13, 14, 15, 17, 19, and 20, and any accrued payment obligations.
17. Governing Law & Dispute Resolution
These Terms and any dispute or claim arising out of or relating to them or to the Service, including their formation, interpretation, breach, or termination, are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict-of-laws principles.
You and SYCONX agree that any dispute, action, or proceeding arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in the State of New York, and you and SYCONX consent to the personal jurisdiction of, and venue in, those courts and waive any objection based on inconvenient forum. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
18. Changes to the Terms
We may update or modify these Terms from time to time to reflect changes in the Service, our business practices, or legal requirements. When we make material changes, we will update the "Effective date" and provide notice by reasonable means, which may include posting the revised Terms within the Service, at https://chargecrafter.com, or by email to the address associated with your Account. Changes take effect on the effective date of the revised Terms. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may terminate your Account.
19. Miscellaneous
19.1 Entire agreement
These Terms, together with our Privacy Policy, Cookie Policy, GDPR commitments, and any order or plan details you agree to, constitute the entire agreement between you and SYCONX regarding the Service and supersede all prior or contemporaneous agreements, proposals, and communications, whether oral or written, on that subject.
19.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, severed, and the remaining provisions will remain in full force and effect.
19.3 No waiver
No failure or delay by SYCONX in exercising any right under these Terms will constitute a waiver of that right, and no waiver of any breach will constitute a waiver of any other or subsequent breach. Any waiver must be in writing to be effective.
19.4 Assignment
You may not assign or transfer these Terms, or any rights or obligations under them, without SYCONX's prior written consent. SYCONX may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.
19.5 Force majeure
SYCONX will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, epidemics or pandemics, internet or utility failures, or the failure of third-party services, hosting providers, or telecommunications.
19.6 Relationship of the parties
The parties are independent contractors. Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, or employment relationship between you and SYCONX.
19.7 Notices
We may provide notices to you by email to the address associated with your Account, by posting within the Service, or by other reasonable means. You may provide notices to SYCONX by email to support@chargecrafter.com or by mail to the postal address in Section 20. Notices are deemed given when sent (for email or in-Service notices) or when received (for postal mail).
19.8 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
